CONDITIONS OF SALE

(BRITISH ISLES)

The Cycle chains of The Renold and Coventry Chain Company Limited are marked RENOLD, THE COVENTRY, ALFRED APPLEBY or BRAMPTON ; and the Motorcycle chains are marked RENOLD or THE COVENTRY; and Automobile chains are marked RENOLD or THE COVENTRY ;together with Tools and Accessories used with such chains ; these products are sold upon the following conditions :

(1)

 That they shall not be advertised or sold retail at other than the retail prices given in our current price lists or printed wrappers, nor shall cash discounts be offered or allowed in relation to such prices.

(2)

That they shall not be sold wholesale at other than the prices given in our current wholesale price lists, nor shall cash discounts be offered or allowed in relation to such prices.

(3)

That in the case of re-sale no allowance shall be made from our regular price by way of rebate on turnover, and under no circumstances must the value of our goods be taken into account in any transaction of which rebate forms a part.

(4)

That they shall not be sold or offered for sale by auction, whether separately or as component parts of bicycles.

(5)

That no plea of ignorance of prices, or want of price lists shall avail.

(6)

That any goods supplied shall only be advertised or described by the purchaser under the correct trade mark or name as appearing in the Company's current lists.

(7)

That chains not fitted to machines shall only be sold in the printed wrappers containing conditions of sale, which must not be erased or otherwise made unreadable.

(8)

That dealers agree to observe regulations officially issued by the Cycle Trade Union.

(9)

That goods supplied as Manufacturers' Original Equipment are sold on the express condition that they are not to be re-sold as separate articles and are used only as part of the equipment of machines manufactured by the purchaser.

(10)

That in the event of the purchaser's name being removed from the list of names of Cycle Manufacturers and Builders, as published by the British Cycle and Motor Cycle Manufacturers and Traders Union Limited from time to time, any contract or unexecuted order shall forthwith be considered as cancelled.

(11)

That any contract or order accepted is subject to the condition that if the purchaser's name shall appear in the " Stop List " of the Cycle Trade Union such contract or order shall thereupon be considered as cancelled so far as concerns the supply of any goods not delivered under such contract or order.

(12)

That breach of any of these conditions shall render any existing contract null and void.

(13)

That the acceptance of these goods by any purchaser will be considered an acknowledgment by him that they are sold to him on these conditions and that he agrees to impose these conditions upon any subsequent purchaser.
